LonAdd HR Consultancy Plc (www.lonadd.com) is a Recruitment & Outsourcing Company based in Addis Ababa, Ethiopia, with branch offices in Dukem and Hawassa. We are looking for a competent Legal and Ethics Manager for our client Tulu Kapi Gold Mine.
This role is a permanent position on an indefinite period contract of employment.
Department – Finance
Job Purpose
Reporting to the Finance Director, the Legal and Ethics Manager provides legal guidance and support to the Company’s management and departments to ensure compliance with laws and regulations, protect the Company’s interests, and manage legal risk. The role also encompasses contract drafting and review, corporate governance, regulatory compliance and dispute resolution.
Responsibilities and Accountabilities
Legal Advisory and Compliance
Provide legal advice and guidance on a broad range of corporate, commercial, and operational matters.
Monitor changes in legislation relevant to the company’s operations and ensure timely implementation of compliance measures.
Corporate Governance
Support the Board of Directors and company secretariat functions in maintaining statutory registers, board resolutions, and corporate filings.
Advise on governance frameworks and best practices to ensure sound decision-making and accountability.
Ensure compliance with company law, shareholder agreements, and internal policies.
Monitor the implementation of anti-corruption laws and provide guidance on their execution and compliance.
Ensure ethical standards are integrated into business policies, procedures, and operations.
Promote awareness of ethical conduct, conflicts of interest, whistleblowing procedures, and compliance obligations
Conduct ethics audits, compliance reviews, and risk assessments to identify potential ethical vulnerabilities.
Stay updated on legislative and regulatory changes affecting corporate ethics and governance.
Contract Management
Draft and review commercial agreements, service contracts, leases, supplier and customer agreements, non-disclosure agreements, and other legal documents.
Develop and maintain contract templates, approval processes, and a central contract management system.
Support business units in ensuring contractual obligations are met and risks are minimized.
Dispute Resolution and Litigation Management
Manage and coordinate external counsel in disputes, litigation, or arbitration matters.
Handle internal investigations, claims, and settlement negotiations.
Maintain records of legal proceedings and ensure cost-effective legal management.
Risk Management
Identify potential legal risks and recommend mitigation strategies.
Support the development and implementation of Company policies to minimize exposure to legal liability.
Train management and employees on key legal and compliance topics.
External Stakeholder Engagement
Liaise with regulators, government authorities, and external legal advisors.
Represent the company in legal matters, negotiations, and discussions with third parties.
Liaise with regulators, auditors, and industry bodies on ethics and compliance matters
About You
Experience Required
Minimum of 10 years’ experience in corporate governance, legal, or company secretarial functions, ideally within the mining or heavy industry sector.
Strong knowledge of corporate, contract, commercial, mining and employment law and environmental regulations.
Experience in compliance, governance, and regulatory frameworks.
Proven ability to manage multiple priorities and provide practical, business-oriented legal solutions.
Minimum Required Qualifications
Bachelor of Law degree; admission as an Attorney or Advocate in Ethiopia.
A recognized MBA.
Language Requirements
Excellent written and verbal communication with language proficiency in English, Afaan Oromo and Amharic at the Common European Framework of Reference (CEFR) category C2: Mastery standard.
